- Entity Formations and Foreign Registrations
Forming a limited company in Brazil can be relatively straightforward, though it’s not inexpensive by U.S. standards. But compared to many other Latin American jurisdictions, formation costs are reasonable, given the number of filings required. The Limitada requires at least 2 partners, whether individuals or companies. Local representation is required in the case of foreign partners, and there must be a local manager, responsible for the limitada. The registered office is where the company will receive all official notices. There are many options for a registered office, including serviced offices and, for non-operating companies, virtual offices.

- Document Retrievals (i.e Good Standing, Certified Copy)
Brazil is divided into 26 state Boards of Trade (and a Federal District) where company records are kept. Where retrieval is done online, you can expect results in 1 – 3 business days. Depending on the document needed, we can assist with finding the right certificate or extract from any of the Boards of Trade.
Documents are returned in Portuguese, and translations, as necessary, can also be handled by IBCF to ensure acceptance by the receiving institution.
- Apostilles/Legalizations
IBCF has experts on the ground in Brasilia (the capital) and Sao Paulo (the business capital) with extensive experience obtaining apostilles and legalizations from international consulates in both cities. IBCF can manage the entire legalization process from obtaining the documents at the respective Board of Trade (Junta Comercial) to apostilles at the Ministry of Foreign Affairs and on to be legalized at the consulate of the recipient jurisdiction.
