Entity Formations and Foreign Registrations

Many may consider Hong Kong to be one of the easiest countries in Eastern Asia to establish a company due to the welcoming nature of the Hong Kong Government.  There are many tools available to aid companies in successfully growing through its simple tax system.  With logistics being a large part of the business structures in Hong Kong, this jurisdiction has become very popular to the freight forwarding industry.

 

There are a variety of entity types available for registration in Hong Kong.  Some of these include Private Companies Limited by Shares, Public Companies Limited by Shares, Overseas Branch Companies and Limited Partnerships, to name a few.  Corporate entities are governed by the Hong Kong Companies Ordinance of 1984 which is much in line with the United Kingdom company law.  The filing requires for different entity types will vary, but the experts at IBCF can assist with the initial process and annual requirements every step of the way.  From the filing of the initial Memorandum and Articles of Association to the filing of the annual upkeep including the filing of the Annual Return and maintenance of the corporate book.

Document Retrievals (i.e Good Standing, Certified Copy)

We can provide clients with a Good Standing Certificate, known as a Certificate of Continuing Registration, issued directly by the Hong Kong Registrar of Companies.  In addition, our office can assist with obtaining Certified Copies of publicly available documents for third party use.

 

Where our office acts as the Registered Office for the company, we can provide Certificates of Incumbency confirming the public and internal details of the company, signed by the Registered Office.

Apostilles/Legalizations

Hong Kong is party to The Hague Convention allowing any registry certified or notarized document the ability to be Apostilled for use in a country also party to the Hague.  For countries that require further certification at the nearest Consulate of Embassy, IBCF can handle it all!

Due Diligence Searches (i.e Lien, Judgment, Bankruptcy)

IBCF is able to offer various due diligence checks on entities in Hong Kong for many international transactions.

A company search can be conducted at the Hong Kong Registrar of Companies for information which can include, but not limited to, Company Name, Company Registration number, Registered Address, Company Type, plus much more.

A search for registered charges with Hong Kong Registrar of Companies in Hong Kong can be provided. The search for charges would be the most equivalent to a UCC search in the United States. Since registrable charges created by a company will need to be registered with the Registrar of Companies, a search may be conducted on the relevant companies.

Outside of registrable charges and through our network of resources, IBCF is also able to offer litigation and judgment searches at the High Court in Hong Kong.

Bankruptcy searches can also be conducted on entities, and these search reports will provide information on a petition that may have been submitted to the High Court relating to the winding up or insolvency of an entity in Hong Kong.
