- Entity Formations and Foreign Registrations
Forming a company in Israel is not extremely complicated. Clients have the choice to either form a domestic entity or register a branch of an existing entity in Israel. It is important to add that directors and shareholders should either come to Israel to sign the official documents in front of a Lawyer, or must sign in an Israeli consulate. Each Israeli company must file audited financial reports with tax authorities annually and (if active) VAT reports must be filed every month. We can assist you to find an accountant/bookkeeper to assist with the required filings. In most cases, the company should plan to have an officer in Israel to sign reports, liaise with the Authorities and to fulfil required duties.
The Registrar of Companies was established by the British at the time of the British Mandate in 1929 based on the companies act. The Corporations Authority was then established in 2007 as an organization responsible for the registration, supervision, enforcement and control of corporations in Israel. The Authority includes the Registrar of Companies unit, the Registrar of Partnerships unit, the Registrar of Pledges unit, the Registrar of Associations unit, the Registrar of Charitable Trusts and public benefit companies, as well as the Registrar of Political Parties unit. In Israel a registered office is mandatory and will be the location where statutory documents from the Corporations Authority are sent. The registered office is typically where the actual physical office of the entity is located.
