Entity Formations and Foreign Registrations

In 2011 the New Companies Act was enacted, allowing six types of companies: private company, sole proprietor, public company, partnership, business trust and non-profit organization. Close Corporations (CC) can no longer be registered, but pre-2011 close corporations can operate as is. Private companies and sole proprietors tend to be the more popular types of entities, but that will of course depend on your business’s needs.

Apostilles/Legalizations

South Africa is party to The Hague Convention allowing any registry certified or notarized document the ability to be Apostilled for use in a country also party to The Hague.  For countries that require further certification at the nearest Consulate of Embassy, IBCF can handle it all!

A company search can be conducted at the CIPC office for information which can include, but not limited to, Company Name, Company Registration number, Registered Address, Company Type, plus much more.

 

Searches can be conducted at the South African Deeds Office (which is essentially the immovable property registration office in South Africa) to determine whether interdicts or judgments have been granted over a particular property. It is also possible to conduct searches at the Deeds Office to determine whether interdicts or judgments have been granted against a particular company relating to immovable property owned by that company.
