Entity Formations and Foreign Registrations

Company formation in the US is generally quick and efficient, taking no more than a few days in most states and mere hours in others. While starting a company in the United States is generally inexpensive compared to most jurisdictions, state fees vary widely and it should be noted that some states such as Nevada require payment of an annual general business license, regardless of industry. Many companies choose Delaware as their state of incorporation because of its favorable tax policies and pro-business culture, but other popular choices include New York, Wyoming, California and Florida. While the definition of “doing business” varies from state to state, if a company is looking to hire employees or advertise locally in a state that is not their original state of incorporation, a foreign qualification is necessary. Registered Agent/Registered Office

A registered agent is required in every state where a company is qualified to do business—IBCF can act as your registered agent throughout the US and US territories.

Document Retrievals (i.e Good Standing, Certified Copy)

IBCF has extensive experience with obtaining documents from requested Secretary of States offices. Generally most states issue good standing certificates, while some may issue a certificate of status or certificate of fact. Most of the time, the certificate issued serves the same function.

State offices will issue certified copies of filings that have been submitted for an entity. Generally speaking, most clients request certified copies of the formation documents, but most states can issue certified copies for other filings such as amendments and annual reports.

Apostilles/Legalizations

Being party to the Hague Convention, the United States can issue and accept the apostille.

If a document that is certified or notarized in the United States is needed for use in a Country not party to the Hague, IBCF can arrange for a Legalization at that countries consulate.
